Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of The Web3 Company's website, services, and products (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services.

Use of Services

Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable law or regulation
• Impersonate or attempt to impersonate The Web3 Company or any other person or entity
• Engage in any conduct that restricts or inhibits anyone's use of the Services
• Use any automated system to access the Services without our prior written consent
• Introduce any viruses, trojans, worms, or other malicious code
• Attempt to gain unauthorized access to any portion of the Services

Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by The Web3 Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of the material on our Services, except as permitted in writing by The Web3 Company.

Service Agreements

When you engage The Web3 Company for consulting, development, or other services, the specific terms, deliverables, timeline, and pricing will be outlined in a separate Service Agreement or Statement of Work (SOW).

These Terms of Service are supplemented by any such Service Agreement, and in the event of a conflict, the Service Agreement will take precedence with respect to the specific services being provided.

Payment Terms

Payment terms will be specified in your Service Agreement. Generally:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month
• Services may be suspended for non-payment after notice
• All fees are non-refundable unless otherwise specified in your Service Agreement

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of any Service Agreement.

Disclaimers and Limitations of Liability

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE WEB3 COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless The Web3 Company and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in the United States.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms and, in some cases, provide additional notice. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
